“Promotool” and “Self-Service Advertising” Terms and conditions

1.- Definitions
The following terms shall be understood as defined below:
“Campaign”: each promotional, commercial, advertising or marketing actions or events that are meant to promote the Partner’s operations in the Glovo App and that can be designed by the Partner via the Promotool platform and/or the Self-Service Advertising tool.
“Campaign’s budget” also referred to “campaign’s cost”: the total cost established by the Partner through the Tools (as defined below) for each specific Campaign.
“Glovo”: any of our companies group, held by the legal entity Glovoapp23, SA, with a registered office in Spain, Barcelona (08005) in Calle Llull, 108 and with VAT number A-66362906. Glovo is a technological company whose primary activity is the development and management of a platform which enables certain local stores (see Partner’s definition herein below) of some cities to offer their products through the Glovo App.
“Glovo App”: the technological platform (app and website) developed and managed by Glovo which enables certain local stores (see Partner’s definition herein below) of some cities to offer their products through an App/website.
“Parties”: Glovo and the Partner together referred to as the Parties.
“Partner(s)” also referred to as “You” and “Yours”: any shop or restaurant which has accepted Terms and Conditions for Partners and/or have signed the Partner’s Agreement.
“Restaurant (s)”: Partners
“Partner’s Agreement”: Terms and Conditions for Partners concluded between any Partner and Glovo.
“Promotool”: platform inside the Promotion section of the Vendor Portal made available to Partners in order for them to be able to request and manage their applications for marketing.
“Terms and Conditions”: these Terms and Conditions ruling the use of the Promotool Platform and the Self-Service Advertising tool.
“Tools”: the Promotool platform and the Self-Service Advertising tool jointly.
“Users”: any user, client or final consumer of Partner’s services or products through the Glovo App.
“Self-Service Advertising”: platform inside the Advertising section of the Vendor Portal made available to Partners in order for them to be able to request and manage their applications for advertising.
“Monthly budget”: the maximum cost established by the Partner through the Self-service ads tool (as defined below) for each month.
“Vendor Portal”: management platform for Partners, in which, among other management options, You will find the Tools.
2.- Purpose of these Terms and Conditions
These Terms and Conditions shall apply to those Partners who request, through the Tools, the creation, setting and implementation of specific promotions and/or advertising made available by Glovo to the Partner in the Glovo App.
These Terms and Conditions do not replace in any event the Partner’s Agreement that has been signed or concluded between the Partner and Glovo when the case may be. These Terms and Conditions supplement them and may be modified and extended by Glovo at any time with or without notice to the Partner. Therefore, the Partner’s Agreement will regulate anything not specifically dealt with in these Terms and Conditions.
By using the Tools You agree to be bound by the terms as well as authorize Glovo to implement a promotional and/or advertising campaign on your behalf in the Glovo App.
3.- What are the Tools available?
- What is the Promotool service?
Promotool is a platform made available by Glovo to its Partners, who meet the requirements described in Term 5, and that allows them to feature, create, enable and disable through the Vendor Portal its own offers and promotions to users by selecting and defining:
- the name of its own campaign,
- the cities and stores in which such campaign shall be applicable,
- the start and end dates of the campaign,
- the budget of the campaign,
- the total number of orders a promo can be used,
- the moment to disable the promotion.
The data related to campaigns in the Promotool must be correctly entered in an accurate way by the Partner in the software before placing the campaign’s request. Unless otherwise specified by Glovo, the Partner will be restricted to use the campaign elements provided through the Promotool and shall be solely responsible for defining all those elements provided.
Glovo shall be freely entitled to include and or remove any new service or marketing modality at any time within the Promotool. Among others, by way of example and without constituting an exhaustive list and/or creating any obligation for Glovo, the following marketing actions could be enabled:
- Free delivery: the user receives the meal/product with no cost of delivery.
- Flat delivery: where applicable, the user pays a flat delivery fee (which contains a discount inside - e.g. 1€).
- Percentage of discount on products: the user pays a percentage OFF the total menu (or specific products) - e.g. 20% of all the restaurant.
- Discount on products: the user pays an amount OFF the total menu (or specific products) - e.g. 10€ discount on a product.
- Spend X Get Y: the users pays a certain amount on a restaurant and they’ll get a product for free.
- 2x1: the user buys one and gets another item (same item) for free.
- Minimum Basket Size (MBS): the user has to reach a minimum basket size to avail some of these promotions.
- Target audience: the promotions may target specific audience segments such as new customers to the store, Glovo prime users, etc, as defined by the Partner in the Tool.
- Flat discount: when applicable, the user benefits from a flat discount OFF the total Menu.
- Flash Offers: limited-time offers with a full menu discount targeting new and dormant Users, as defined by Glovo. The Partner may define a daily cap on the number of new Users to target.
The above will depend on the business model that each Partner follows and the type of products/services it offers through the Glovo App, as well as the specific Partner’s Agreement it has concluded with Glovo. Therefore, it is possible that some of the above-mentioned options for defining Campaigns may not be available to some Partners.
- What is the Self-Service Advertising service?
Self-Service Advertising tool is a platform made available by Glovo to its Partners, who meet the requirements described in Term 5, and that allows them to feature, create, enable and disable through the Vendor Portal its own Campaign to Users by selecting and defining, among others:
- the maximum monthly spend of its own Campaign,
- the start date of the Campaign.
Glovo may, at any moment, add new elements and criteria to define and set up Campaigns without the need to expressly communicate to the Partner, providing that these improve their experience and the functionalities of the Self-service Advertising Tool.
The data related to Campaigns in the Self-Service Advertising tool must be correctly entered in an accurate way by the Partner in the software before placing the Campaign’s request. Unless otherwise specified by Glovo, the Partner will be restricted to use the Campaign elements provided through the Self-Service Advertising tool and shall be solely responsible for defining all those elements provided.
Glovo shall be freely entitled to include and/or remove any new service or marketing modality at any time within the Self-Service Advertising tool without the need to expressly communicate it to the Partner.
Glovo shall be freely entitled to make any suggestion and/or recommendation to the Partners with regards to the options and setting of the Campaign. The Partner shall, nevertheless, be free to set the Campaigns as desired, providing that they comply with the minimum requirements established by Glovo and with all the laws applicable.
4.- Parties’ responsibilities and rights
- Partner’s information
The Partner warrants that all the information regarding his/her identity and capacity provided to Glovo is true, accurate and complete. In addition, the Partner undertakes to keep their details up to date. If a Partner provides any false, inaccurate or incomplete information or if Glovo considers that there are well-founded reasons to doubt the truthfulness, accuracy or integrity of such information, Glovo may deny that Partner’s current or future access to, and use of, the Tools or any of its contents and/or services.
The Partner undertakes not to disclose the details of their account or allow access thereto to third parties. Partners shall be solely responsible for any use of such details or of the Tools that may be made by third parties, including the statements and/or contents entered on the Tools, or for any other action carried out under their username and/or password. Glovo cannot guarantee the identity of registered Partners, and it will therefore not be liable for the use by unregistered third parties of a registered Partners’ identity. The Partner undertakes to inform Glovo immediately, using the communication channels made available by Glovo, if their credentials are stolen, disclosed, or lost.
- Campaign’s characteristics and use of the Tools
The data related to Campaigns inserted by the Partner in the Tools, in accordance with Section 3 hereinabove, must be inserted in a correct and accurate way by the Partner before placing the Campaign’s request. Glovo takes no responsibility for any failure and/or damage linked to the insertion of the wrong data and indications by the Partner.
Unless otherwise specified by Glovo, the Partner shall be solely responsible for defining all the information and details for the setting up of the Campaigns, as available through the Tools. Among other things, depending on the type of Campaign to be activated, the Partner may be requested to set up a monthly budget and the specific start date for the Campaign. Additionally, the Partner shall be able to cancel the Campaign at any time, as provided in the section below “Campaign’s cancellation”.
For Flash Offers, the Partner acknowledges and agrees that visibility of the Campaign will automatically stop once the defined daily Usercap is reached. However, the Partner remains responsible for any additional orders fulfilled beyond this cap, including but not limited to those resulting from multiple eligible Users placing an order at the same time or system latency in deactivating the offer. All such fulfilled orders will be billed to the Partner at the applicable Campaign budget. The nature of the Campaign will continue indefinitely, until the Partner decides to cancel the Flash Offer.
The Partner shall be solely responsible for all activity that occurs under its Tools regardless of whether the activities are authorized or undertaken by the Partner.
The Partner agrees to only use the Tools in a legal way and shall not elude nor make a different use of such Tools from the use described herein. In the event Glovo detects that the Partner has violated its obligations hereunder, it shall be entitled to disable the Partner’s profile and promotional and advertising Campaigns inside the Glovo App. Similarly, the Partner will be responsible and hold Glovo harmless from any claim and/or damage that may derive from illegal, illicit and/or wrongful use of the Tools.
- Campaign’s cancellation
Once the Partner has placed a Campaign in the Tools, the Campaign shall be accepted by Glovo; this acceptance may take place automatically. The Partner shall pay to Glovo the amount effectively consumed of the Campaign requested by it through the Tools in accordance with section 6 of these Terms and Conditions.
The Partner recognizes and accepts that the costs in which the Partner has already incurred during the period that the Campaigns have been activated and performed on its behalf through the Glovo App is not refundable. Neither refunds nor credits will be granted to the Partner to compensate for the amount of the total budget that has been already used for marketing investments or campaign’s costs.
In the event that the Partner wishes to cancel the Campaign before its end, the Partner has the option to do so inside the Tools. The Partner it’s entitled to cancel the Campaign at any time during the period in which the Campaign is active and assume the cost of the Campaigns performed.
The Campaign will continue indefinitely until the Partner decides to cancel it.
- Responsibilities and liabilities
Tools availability: Glovo reserves the right to discontinue, deactivate, cease, suspend, modify, or reactivate the Tools services as well as to update or amend these Terms and Conditions at any time in its sole discretion without obligation to send any prior notice to the Partner, except when such notice is required under the applicable law. Furthermore, some of the features of the Tools may not be available to some Partners, due to the country in which they operate, certain legal requirements, performance on the Glovo app, among other circumstances.
In this sense, the Partner agrees that neither Glovo nor any of its affiliates shall be liable for any of these circumstances.
Fraud: Glovo reserves the right to cancel Campaigns requested by the Partner if it becomes aware of a fraudulent use by the Partner of the Tools. Furthermore, Glovo reserves the right to claim against the Partner for the amount for which Glovo has been defrauded as a result of such use as well as any additional damage suffered by such malicious or negligent behavior.
Content of the Campaigns: Partners are fully responsible for the proper use of, and access to, their profile and to the Tools as well as for the contents of their Campaigns in accordance with the current legislation, be it national or international, of the country from which they are using the Tools, as well as with the principles of good faith, morals, generally accepted customs and public order. Specifically, they undertake to diligently comply with these Terms and Conditions. Glovo may not be deemed to have editorial responsibility of the Partners’ Campaigns and it expressly states that it does not identify with any opinions that may be issued by the Partners via the Tools, whose consequences shall be the sole responsibility of Partner.
Force majeure: Glovo will accept no liability if, due to an event of force majeure or other events beyond its control or whose need is justified, it is forced to cancel, shorten, extend, or amend the conditions of Campaigns. In particular, Glovo will accept no liability if the website is not available at any time during promotions, Campaigns for a malfunction in the Glovo App or Tools. In this regard, the Partner acknowledges and agrees that the Tools are provided “as-is” and that the use of the Tools is at its own option and risk. Glovo does not warrant that the Tools will meet customer’s requirements or be available, uninterrupted, defect-free, or error-free, and Glovo will not be liable for the consequences of any interruptions or errors.
Information provided by the Tools: The Partner acknowledges and accepts that the information available in the Tools related to their Campaigns or their results may not be precise, although Glovo will make its best efforts to update and develop the Tools to ensure that these are as accurate as possible. In any case, Glovo will accept no liability for any information, suggestion and/or recommendation provided through the Tools; similarly Glovo will accept no liability for any decision made by the Partner on the basis of the said information, suggestions and/or recommendation.
5.- Requirements for the use of the Tools
In order to use the Tools service, You must have a current active Glovo Partner’s account and enter the necessary information when using the Tools. Furthermore, to use the Tools service, it is essential that You meet the following requirements:
- You must be at least 18 years of age.
- You must truthfully complete the mandatory fields of the specific Tool.
- You must carefully read these Terms and Conditions. Further, acceptance of these Terms and Conditions is an essential step to be taken before use of the Tools.
- You must agree to the Privacy and Data Protection Policy.
- You must agree to the Cookie Policy.
- You must agree to Glovo’s Standards of Ethics and Business Conduct for Third Parties available at https://compliance.glovoapp.com/public/compliance.
6.- Campaign’s price and payment
- Campaign’s cost or budget
The Tools are a service provided by Glovo under which Partners can create their own Campaigns by paying to Glovo the amount effectively consumed of the Campaign. Therefore, the Partner shall be solely responsible for the payment of the cost of the Campaign’s budget.
In the case of Flash Offers, the Partner will be charged a flash offer fee based on the total order value for each order fulfilled through the Campaign (cost-per-order model). The Partner acknowledges that this charge applies to all qualifying orders, including any that exceed the Partner’s daily cap.
Flash Offer campaign fees are strictly non-refundable, including in cases where the Campaign is cancelled or where fewer than the targeted number of Users are reached on a given day.
The Partner recognizes and acknowledges that, when reaching 90% of the total agreed cost or budget for a Campaign, Glovo shall be entitled to stop the said Campaigns to avoid exceeding the initial agreed budget. Notwithstanding the above, the Parties agree that, in the event the initial cost or budget of the Campaign has been exceeded, the difference between the initial budget and the final effective amount spent will be charged to the Partner by Glovo. This also applies to Flash Offers, where exceeding the daily User cap will result in the Partner being charged for all completed orders.
- Tools’ fee
Currently, the Parties agree that the price for the use of the Tools shall be included in the amount paid by the Partner to Glovo under the Partner’s Agreement concluded between the Parties for the use of the Glovo App.
Notwithstanding the above, Glovo shall be entitled to apply a Tools’ fee to all its Partners, at its sole discretion, by informing them, by any written means, with a prior notice of at least TWENTY (20) calendar days before the entry in force of such fee.
- Payment methods
The payment of each Campaign’s cost and Tools’ fee if any, shall be made by deducing the amount that has been spent by the Partner for each Campaign from the invoice(s) issued by Glovo to the Partner, as concluded and established under the corresponding Partner Agreement between the Parties for the use of the Glovo App. The corresponding concept inscribed on the invoice shall be “Marketing Promotions” or similar.
- Applicable taxes
The Tools’ fees are exclusive of value added tax - or any other sales tax or similar tax levied -, which, if applicable, shall be charged by Glovo to the Partner and paid by the Partner according to local tax legislation.
Furthermore, depending on the marketing action enabled by the Partner, the taxation of each one of these actions would be as follows:
- Free delivery or flat delivery assumed by the Partner: Glovo shall charge the corresponding amount of the delivery fee, if applicable, to the Partner, applying the corresponding value added tax on the amount of the delivery fee, when applicable. In that case, the delivery fee shall be considered VAT inclusive.
- Percentage of discount on the product or 2x1 assumed by the Partner: Glovo shall charge the corresponding amount of the product discount or cost to the Partner. In that case, Glovo will not charge VAT to the Partner.
- Advertising assumed by the Partner: Glovo shall charge the corresponding amount to the Partner together with any additional charges on VAT that must be applied under the laws applicable.
- Flash Offers: Glovo shall charge the Partner a fee based on the of the total order value for each delivered Flash Offer order, and will apply any applicable VAT or similar tax on this fee in accordance with local tax legislation
7.- Term and Termination
The term of these Terms and Conditions begins upon Partner’s registration or use of the Tools and will be applicable for all uses by the Partner of the Tools, unless expressly provided otherwise by Glovo.
Glovo reserves the right to amend these Terms and Conditions at any time. Glovo will provide prior notice of those amendments when mandatory in accordance with applicable laws.
In addition, Glovo reserves the right to update, amend, or delete the information contained in the Tools, at any time and without the need for prior notice unless mandatory as per the applicable law, with regard to its layout, presentation and access conditions, without thereby accepting any liability in relation thereto.
8.- Applicable Law
The relationship between Glovo and the Partner with regard to the use of the Tools shall be governed by, and construed in accordance with, these Terms and Conditions, whose construction, validity and enforcement shall be governed by the applicable Partner’s Agreement, as well as by the laws of the country in which Glovo operates and any dispute shall be submitted to the courts of Glovo's registered office in the relevant country, unless otherwise provided by applicable law.
